The Construct: Founding-Member Lifetime License Terms

These Founding-Member Lifetime License Terms (the "License Terms") govern the one-time Founding-Member Lifetime License offered by AcerLogic Educational Services, LLC ("AcerLogic," "we," "us") for The Construct (the "App"). They are an addendum to, and incorporate, the Terms of Service. If there is a conflict on the specific subject of the lifetime license, these License Terms control.

1. What you are buying

For a one-time fee of US$99 (plus any applicable taxes), AcerLogic grants you a Founding-Member Lifetime License: a personal, non-transferable license to use the App, on the terms of the Terms of Service, without further license or subscription charge, for the lifetime of the product as defined below. It also designates you a "Founding Member."

The license is a one-time purchase. It is not a subscription and does not auto-renew or recur.

2. What "lifetime" means

"Lifetime" means for as long as AcerLogic continues to make The Construct generally available. It does not mean your lifetime, and it is not a guarantee that the App, support, updates, or any particular feature will remain available for any minimum or fixed period. AcerLogic may modify, suspend, or discontinue the App, any feature, or any support at any time, with or without notice.

The Founding-Member Lifetime License entitles you to use the App without further charge for as long as it remains generally available. It does not entitle you to: any specified duration of availability, updates, or support; any particular future feature or capability; or a refund if the App is later changed or discontinued, except as required by applicable law.

3. Local-first note

Because the App runs on your own Mac, a copy you have installed may continue to function even after AcerLogic stops actively supporting or distributing it. However, AcerLogic does not guarantee continued compatibility with future versions of macOS, with your AI Providers, or with Apple's code-signing, notarization, or security requirements, any of which may affect whether an installed copy keeps working over time.

4. Beta

At the time of this offer the App is in beta and is provided "as is" and "as available" under Section 10 of the Terms of Service. You acknowledge you are purchasing access to a pre-release product that may contain errors and may change materially.

5. Payment, taxes, and refunds

• Payment is processed by Stripe; your purchase is also subject to Stripe's terms and privacy policy. We do not receive or store full payment-card numbers.
• Prices exclude taxes unless stated; you are responsible for applicable taxes.
• Refunds: The App and license are delivered electronically. Once you download or activate the App, all sales are final and the fee is non-refundable, except as required by applicable law. Any statutory cancellation or withdrawal rights that apply to you under your local law are unaffected.

6. Non-transferable

The license is personal to you and may not be sold, assigned, sublicensed, or transferred, and access codes associated with it may not be shared or published.

7. Effect of future paid plans

If AcerLogic later introduces paid subscription plans or other paid tiers, Founding Members will not be charged a recurring subscription fee for the access included in this license, for as long as the App remains generally available, consistent with Section 2. The specific features included may evolve as the product evolves; this license guarantees fee-free access to the App as generally made available, not any particular feature set.

8. Relationship to the Terms of Service

All other terms, including the disclaimers of warranties (Section 13), limitation of liability (Section 14), indemnification (Section 15), and dispute resolution (Section 17) of the Terms of Service, apply to your purchase and use under these License Terms.
